เอกสารนี้กล่าวถึงคุณสมบัติของผู้ยื่นข้อเสนอสำหรับการประกวดราคาอิเล็กทรอนิกส์ของหน่วยงานภาครัฐ โดยกำหนดให้ผู้ยื่นข้อเสนอต้องมีคุณสมบัติตามกฎหมาย ไม่เป็นบุคคลล้มละลาย ไม่อยู่ระหว่างเลิกกิจการ และไม่ถูกระงับการยื่นข้อเสนอจากหน่วยงานของรัฐ นอกจากนี้ ผู้ยื่นข้อเสนอต้องไม่มีชื่ออยู่ในบัญชีรายชื่อผู้ทิ้งงาน และต้องไม่มีผลประโยชน์ร่วมกันกับผู้ยื่นข้อเสนอรายอื่น เพื่อให้การแข่งขันเป็นไปอย่างโปร่งใสและเป็นธรรม
ที่สำคัญคือ ผู้ยื่นข้อเสนอต้องมีมูลค่าสุทธิของกิจการเป็นบวก หากเป็นนิติบุคคลที่จัดตั้งตามกฎหมายไทยและจดทะเบียนเกิน 1 ปี โดยพิจารณาจากงบแสดงฐานะการเงินล่าสุด หากยังไม่มีการรายงานงบแสดงฐานะการเงิน จะพิจารณาจากทุนจดทะเบียนที่เรียกชำระแล้ว โดยมีเกณฑ์กำหนดทุนจดทะเบียนขั้นต่ำตามมูลค่าการจัดซื้อจัดจ้าง เช่น หากมูลค่าการจัดซื้อจัดจ้างเกิน 1 ล้านบาท แต่ไม่เกิน 5 ล้านบาท ต้องมีทุนจดทะเบียนไม่ต่ำกว่า 1 ล้านบาท เป็นต้น
